# The Board Operating System

A Board Operating System — BOS — is the cadence, decision rights and preparation rituals by which a mid-market board and its leadership team actually govern. Not the constitution. Not the org chart. The week-by-week mechanics of how critical decisions get made, and who is on the hook when they don't.

Most boards have an excellent constitution and a barely functional operating system. The board pack arrives late, decisions are framed before the room ever meets, and the same three items reappear quarter after quarter. The BOS is what fixes that — and the three-by-three below is how we describe its working parts.

## How it works: the three-by-three

Rows are the arc of any decision: _Before_ the meeting, _During_ the meeting, _After_ the meeting. Columns are the three things a board actually moves: the _information_ in front of it, the _decisions_ it owns, and the _rhythm_ at which it works. Strengthen all nine cells and the board stops being the bottleneck.
