This Disclaimer is published by **Lyoen and Partners Limited** ("L&P") in connection with the website **lyoenandpartners.com** (the "Website"). It applies to all visitors to the Website and is incorporated by reference into the [Terms of Service](/terms). Where there is any conflict between this Disclaimer and the Terms of Service, the Terms of Service prevail.

## 1\. No Professional Advice

The Website is an informational and marketing platform for L&P, the BOS methodology and L&P's advisory and fractional-leadership services. Nothing on the Website — including methodology descriptions, diagnostic outputs, governance insights, case examples or any other content — constitutes legal, financial, regulatory, tax, investment, accounting, medical or strategic advice, or the provision of professional services of any kind.

You should consult qualified professionals before making any decision based on information obtained from the Website.

## 2\. The Website Is Not an Engagement

Nothing on the Website creates a consulting, advisory, fractional-leadership, employment, agency or fiduciary relationship between you (or your organisation) and L&P.

Submitting the BOS Diagnostic, requesting a Discovery Session, subscribing to the newsletter, submitting the contact form, or reviewing service descriptions on the Website does **not** constitute engagement of L&P.

**L&P delivers advisory, consulting and fractional-leadership services exclusively under a separate written engagement letter signed by both parties.** Until such an engagement letter is in force, L&P owes no duty of care, no deliverable and no service obligation to you by virtue of your use of the Website.

## 3\. BOS Diagnostic — Self-Assessment Only

The **BOS Diagnostic** is a free self-assessment tool. Its output — including scores, interpretations, the Roof Health Report and any recommendations — is generated algorithmically from your self-reported responses and provides a **directional indication only**.

The diagnostic output is **not**:

-   A professional governance audit, review or attestation;
-   A benchmarking assessment against any standard or certification;
-   A binding or certified evaluation of your organisation's board effectiveness;
-   A substitute for independent expert review.

L&P accepts no liability for decisions made or actions taken in reliance on diagnostic outputs.

## 4\. Governance Insights — AI-Assisted and Informational

The Website publishes weekly insights on board governance, AI in the boardroom and related topics. These are produced with the assistance of artificial intelligence from curated public sources and are labelled accordingly, in compliance with applicable transparency obligations including the **EU AI Act (Regulation 2024/1689)**.

Insights may be incomplete, contain inaccuracies, reflect a directional perspective, cite sources that are themselves imperfect, or become outdated. They are provided for general information and discussion purposes only. They are **not** professional advice and must not be relied upon as such.

L&P does not endorse, verify or guarantee the accuracy of any third-party source cited within an insight. Inclusion of a reference does not imply any relationship with, or approval by, the author or publisher.

## 5\. Methodology and Service Descriptions — Illustrative

Descriptions of the **BOS methodology**, the **3×3 framework**, the **House of Execution**, engagement phases (30 / 90 / 180 days), service tiers, deliverables, fees and indicative outcomes are **illustrative of L&P's approach and intent**. They are **not**:

-   A contractual offer;
-   A binding description of what will be delivered in any specific engagement;
-   A guarantee of outcomes, timelines, or results;
-   A forecast of the value any specific client will realise.

Actual scope, deliverables, timelines, fees and outcomes are defined exclusively in the signed engagement letter applicable to each engagement and depend on factors that include, but are not limited to: the client's governance maturity, execution capacity, market conditions and the cooperation of the client's people, directors and stakeholders.

## 6\. No Warranty of Results

L&P does not warrant, guarantee or predict any specific outcome — financial, operational, governance-related or otherwise — from:

-   Completing the BOS Diagnostic;
-   Reading insights or other content on the Website;
-   Engaging L&P for any advisory, consulting or fractional-leadership service.

Past case examples, testimonials or reference stories on the Website are illustrative and do not predict comparable outcomes for any other client or organisation.

## 7\. Forward-Looking Statements

Statements on the Website about future products (including PARRY's roadmap), services, market positioning, performance or outcomes are forward-looking in nature.
