# Decree No. 245/2025/ND-CP amending and supplementing a number of articles of Decree No. 155/2020/ND-CP

Dated Hanoi, 11 September 2025, with Article 4 providing that the Decree "takes effect from the date of its signing". Amendment item 80 replaces Article 277(3) so that "Each independent member of a listed company's BOD shall make an assessment report on the BOD's performance", and item 82 amends Article 280(4) to require that individual assessment to appear in the annual governance report. Item 79 sets non-executive minimums of one member for a board of three to five, two for six to eight and three for nine to eleven, item 83 adds Article 291(6) barring the CEO and managing directors from being related persons to enterprise managers or controllers, and Article 293 sets shareholder approval at 35 per cent of total assets for related party deals and 10 per cent where the counterparty holds 51 per cent or more of voting shares.
