# Surat Edaran Otoritas Jasa Keuangan Nomor 14/SEOJK.03/2025 tentang Penerapan Tata Kelola bagi Bank Umum

Established 24 June 2025, sixteen governance pillars, with the first self-assessment required for the December 2025 position. Item 28 requires a dissenting opinion to be stated clearly in the minutes together with the reasons, requires the minutes to be signed by every member present, and requires the signed copy to be distributed to all members directly or electronically, with parallel provisions for the Dewan Komisaris and the Sharia Supervisory Board. The circular prescribes the minimum content of a conflict of interest minute as three named fields, the name of the conflicted party, the principal issue and the basis of consideration, scales the sign-off authority to at least one level above the conflicted person, requires a retained recording of any teleconference board meeting, and enumerates the second-degree family perimeter in thirteen named classes.
