A major shareholder holds 10 per cent or more of voting shares, or 5 per cent or more where that person is the largest shareholder, which catches a founder family that has diluted but still leads the register; a connected person includes anyone accustomed or obliged, formally or informally, to act on the said person's directions and anyone on whose directions the said person is accustomed to act, so informal influence is caught in both directions. The independent director definition ends the status by construction where a person "has not served as an independent director in any one or more of the said Corporations for a cumulative period of more than 12 years", and Chapter 10 paragraph 10.02 extends director and major shareholder status to anyone holding either role within the preceding six months of the transaction terms being agreed.
