Paragraph 10.08(1) requires announcement where any percentage ratio of a related party transaction reaches 0.25 per cent, with a RM500,000 floor, and 10.08(2) compels a circular, shareholder approval and a licensed independent adviser at 5 per cent; 10.08(6) requires an interested director to abstain from board deliberation as well as from voting, and 10.08(8) imposes a positive duty on that director to disclose everything adverse he is aware or should reasonably be aware of. Paragraph 10.08(9) exempts subsidiary-level transactions from the circular, vote and adviser requirements up to a 25 per cent ratio only where the listed issuer's board approves before terms are agreed and positively satisfies itself the transaction is fair, reasonable and in the issuer's best interests; a recurrent transaction mandate switches off paragraph 10.08 entirely, leaving a 10 per cent overrun announcement as the live control.
