SC Discussion Paper on Malaysia's Corporate Governance Framework Review: Reinforcing Board Decision Quality and Agility on Emerging Risks

The Securities Commission Malaysia's December 2025 Discussion Paper — the foundation for the forthcoming MCCG 2026 — explicitly targets board decision quality, proposing that boards demonstrate behavioural shifts, enhanced agility in managing emerging risks, and clearer capital-allocation narratives that are decision-useful to investors. For SEA mid-market CEOs, the paper signals that 'apply or explain' governance is giving way to outcome-based accountability, where boards must articulate how strategic decisions are made and aligned to stated priorities. Key proposals include tightening board information flows, mandating AI and digital risk as standing agenda items, and requiring more rigorous disclosure of how capital allocation trade-offs are resolved.
